ROLE

• Become a key player in our client’s Corporate Health & Social Care Team.
• Collaborate closely with a talented corporate team on a diverse array of mergers and acquisitions for funders, investors, operators and developers in the thriving independent health & social care sector.
• Engage in various corporate matters including restructurings, shareholders agreements, joint ventures and drafting principal documents.
• Take the lead on due diligence exercises, data room reviews and management processes, whether on the buy side or sell side.
• Prepare and finalise disclosure letters and supporting bundles, ensuring precision and clarity.
• Review and support investment documents, acting for either investing institutions or management teams on PE-backed transactions.
• Draft and negotiate terms for ancillary transaction documents, such as completion board minutes, deeds of waiver, resignation letters and Companies House forms.
• Contribute to business development efforts and participate in tenders.
• Enjoy a high degree of autonomy and client interaction, with ample support to drive the business forward.

REQUIREMENTS

• Qualified Solicitor.
• A minimum of 5 years experience in M&A transactions.
• Strong technical skills paired with a proactive approach to learning.
• Exceptional communication skills, both written and verbal.
• Excellent organisational skills with the ability to prioritise effectively.
• Proven experience in independently managing a caseload while providing sound commercial advice.
